This Annex 2 (Anlage 2) forms part of the General Terms and Conditions (Allgemeine Geschäftsbedingungen, AGB) of Klate Technology UG (haftungsbeschränkt), Im Galluspark 4, 60326 Frankfurt am Main (Klate). It states the prices for the Free, Pro and Team plans (Tarife) and for the additional services and governs billing, payment, invoices, price changes, default and refunds. What the plans contain is described in Annex 1. Terms defined in the AGB have the same meaning here.


1. Prices

1.1 Price overview

All prices apply per billing period of one month (Clause 2). For the Free plan no means of payment is required. For consumers, the total prices printed in bold apply; they include VAT. Net prices apply only to entrepreneurs (Unternehmer) (Clause 1.3).

The total price is the net price plus 19 percent VAT, rounded commercially to whole cents: in the case of the Pro plan that is 9.00 EUR plus 1.71 EUR (9.00 × 0.19), that is 10.71 EUR. Whether this tax rate applies to you is determined by Clause 1.2 and Clause 1.3.

Klate does not offer any further paid services in its self-service offering. There are no discounts, vouchers, trial periods, minimum terms or annual plans. Apart from the total price, no further costs arise.

1.2 Total price for consumers

This Clause 1.2 applies to consumers. You pay the total price including VAT. The decisive rate is the VAT rate of the state in which you have your domicile or your habitual residence. The column “Total price per month for consumers” shows the total price with the German standard rate of tax of 19 percent; it applies to consumers with domicile or habitual residence in Germany. If you have your domicile or habitual residence in another member state of the European Union, Klate charges the VAT of that state; the total price may then differ from the total price stated for Germany. For consumers with domicile or habitual residence outside the European Union, taxation is governed by the law of that state. In every case the order process displays to you the total price including all taxes before you place an order subject to payment. This displayed total price is binding.

1.3 Prices for entrepreneurs

This Clause 1.3 applies only to entrepreneurs. The net prices are understood to be exclusive of the statutory VAT. Entrepreneurs established in Germany pay the German VAT of currently 19 percent. For entrepreneurs established in another member state of the European Union who provide a valid VAT identification number (Umsatzsteuer-Identifikationsnummer, USt-IdNr.), the place of supply is at their place of establishment (§ 3a Absatz 2 UStG). Klate then issues the invoice without German VAT, with the note „Steuerschuldnerschaft des Leistungsempfängers“ (reverse charge) and with the USt-IdNr. of Klate and of the recipient of the service (§ 14a Absatz 1 UStG); the recipient of the service owes the VAT in its state of establishment (Art. 196 of Directive 2006/112/EC). Entrepreneurs established outside the European Union receive the invoice without German VAT; they are themselves responsible for taxes in their state of establishment. You provide the USt-IdNr. and the invoice address before the order or later in your account (Clause 6.4). Klate checks the USt-IdNr. For as long as no valid USt-IdNr. is available, Klate charges the VAT in the way that Clause 1.2 describes for consumers.

1.4 Currency

Klate bills in euros. If the first paid order is placed from the United States of America, Klate bills in US dollars at the amounts stated in the column “Price per month in USD”. These are fixed amounts, not a conversion at the daily exchange rate. Klate determines the country of the order on the basis of the location from which the order is placed. A choice of currency is not possible. The currency of your first paid order remains decisive for all later changes and renewals of this contract. For customers in the United States no German VAT arises; whether and in what amount taxes arise under the law of their state is shown by the order process before the order.

1.5 Total price per billing period

The total price per billing period is the sum of the plan price, the price of the further seats and the price of the AI Boost units. Example of Team with five seats and two AI Boost units for consumers with domicile in Germany: 32.13 + 2 × 10.71 + 2 × 5.95 = 65.45 EUR per month; that corresponds to 27.00 + 2 × 9.00 + 2 × 5.00 = 55.00 EUR net plus 10.45 EUR VAT. The largest scope that can be ordered in the self-service offering is Team with 50 seats and 50 AI Boost units: 32.13 + 47 × 10.71 + 50 × 5.95 = 833.00 EUR per month for consumers with domicile in Germany; that corresponds to 27.00 + 47 × 9.00 + 50 × 5.00 = 700.00 EUR net plus 133.00 EUR VAT. The order process displays the total price for the scope selected.

1.6 Personal workspace of team owners

Whoever, as the owner of a workspace, pays for the Team plan receives the Pro plan for their own personal workspace at no additional charge, for as long as the Team plan is active and paid. If, at the time of ordering the Team plan, a paid Pro plan already exists for the personal workspace, that plan continues until the end of the billing period already paid for and then ends; the free-of-charge Pro plan follows on from it. Paying for a Pro plan for the personal workspace in addition is not possible during this time. If the Team plan ends, the free-of-charge Pro plan ends as well.


2. Billing period

2.1 Duration and beginning

The billing period (Clause 1 of the AGB) is one month. It begins with the beginning of the paid plan. That is the point in time of the order subject to payment; if, as a consumer, you did not request at the time of the order that Klate begin performance before the expiry of the withdrawal period, the paid plan, and with it the first billing period, begin only after the expiry of the withdrawal period (Clause 12 of the AGB). Every further billing period follows on directly from the previous one, for as long as the contract exists (Clause 11 of the AGB).

2.2 Due date

The charge for a billing period is due in advance at the beginning of the billing period. Klate collects it via the means of payment on file (Clause 3). The order process displays the total price per billing period before you place an order subject to payment.

2.3 Changes during a billing period

Changes during a billing period, for example further seats or AI Boost units, do not shift the billing period. They are charged pro rata for the remaining time of the current billing period (Clause 4 and Clause 5). From the following billing period the new monthly price applies. The change from a personal workspace to the Team plan is a new order subject to payment for the team workspace with its own billing period; Clause 1.6 applies to the personal workspace.


3. Means of payment and payment service provider

3.1 Payment service provider

Klate handles payments via Stripe Payments Europe, Limited, The One Building, 1 Grand Canal Street Lower, Dublin 2, Ireland (Stripe).

3.2 Tasks of Stripe

Stripe provides the order page for the first order subject to payment, stores the means of payment, collects the charge for every billing period and for changes, calculates the taxes and creates and sends the invoices on behalf of Klate. Klate does not receive or store any complete card or account details. Which payment methods are available is shown by the order process. How Stripe processes personal data is explained in the Datenschutzerklärung (privacy notice).

3.3 The customer's means of payment

You keep a valid means of payment available for as long as a paid plan exists, and update it in good time in your account. If a collection fails, Clause 10.5 of the AGB applies. For as long as a due payment is outstanding, Klate suspends the AI functions; the remaining functions of the plan remain usable to the extent described in Clause 10.5 of the AGB.


4. AI quota

4.1 Definition and scope

The AI quota (KI-Kontingent) is the monthly usage volume for the AI functions (Clause 7 of the AGB) that is included in the Pro and Team plans. Klate measures it in quota units (Kontingenteinheiten). The Pro plan contains one quota unit per billing period. The Team plan contains three quota units per billing period and one further quota unit for each further seat. The Free plan contains no AI quota; the one-time creation of the first design at registration is described in Annex 1. The application displays the consumption as a percentage of the AI quota. How much use one quota unit permits depends on the model used and on the extent of the individual requests; how Klate measures the consumption is described in Clause 7.5 of the Leistungsbeschreibung (service description). The contractual treatment of the AI quota is governed by Clause 10.3 of the AGB.

4.2 Term, no carry-over, no monetary value

The AI quota is newly provided in full at the beginning of every billing period. Whatever is not consumed by the end of the billing period lapses. There is no carry-over into the next billing period. The AI quota has no monetary value. It is not paid out, not set off and not transferred, and it is not refunded in the event of a termination by you. The cases in which Klate refunds charges paid in advance on a pro-rata basis are governed by Clause 9.

4.3 Exhaustion

If the AI quota is consumed, the AI functions are unavailable until the beginning of the next billing period. Klate completes a request already begun, even if the AI quota is used up in the meantime; the excess consumption of that one request is not charged, but is set off against the AI quota of the following billing period. Klate does not charge for excess consumption; there is no billing by consumption, and your monthly price does not change. All other functions of the plan remain usable. With the next billing period, or with the addition of an AI Boost unit (Clause 4.4), the AI functions are available again.

4.4 AI Boost

The AI Boost is a recurring additional service to the Pro and Team plans. Each AI Boost unit increases the AI quota by one quota unit per billing period and costs the price per month stated in Clause 1.1. You can order up to 50 AI Boost units. Clause 4.2 applies to AI Boost units: whatever is not consumed at the end of the billing period lapses.

If you add AI Boost units during a billing period, the application displays to you, before confirmation, the pro-rata amount for the remaining time of the current billing period. That amount is collected immediately; the additional quota units are available as soon as the payment has been received. If the payment fails, your contract remains unchanged. From the following billing period the full monthly price of the AI Boost units is part of your total price.

If you are a consumer, Klate also asks you, in the case of an additional order, whether performance is to begin before the expiry of the withdrawal period (Clause 12 of the AGB and Annex 3). Without such a request the additional order takes effect only after the expiry of the withdrawal period and is charged only then.

If you reduce the number of AI Boost units, this does not trigger any payment. The reduction takes effect immediately; the AI quota of the current billing period remains available at the previous level until the end of that period, and Stripe credits you with the pro-rata amount for the remaining time (Clause 5.3 applies accordingly). From the following billing period the reduced number applies. The AI Boost ends with the plan to which it is ordered.


5. Seats

5.1 Definition

A seat (Sitzplatz) is the right of a person to edit content in the workspace. People who only view or approve content do not require a seat in the Pro and Team plans; details and upper limits are described in Annex 1. The Free and Pro plans comprise exactly one seat, which cannot be extended. The Team plan comprises three seats; you can add further seats up to a total of 50 seats at the price per seat and month stated in Clause 1.1.

5.2 Adding seats

The admin of the workspace can add seats at any time. Before confirmation, the application displays the pro-rata amount for the remaining time of the current billing period. That amount is collected immediately; the seats are available as soon as the payment has been received. If the payment fails, your contract remains unchanged and no seat is added. From the following billing period the full monthly price of the seats is part of your total price.

If you are a consumer, Klate also asks you, in the case of an additional order, whether performance is to begin before the expiry of the withdrawal period (Clause 12 of the AGB and Annex 3). Without such a request the additional order takes effect only after the expiry of the withdrawal period and is charged only then.

5.3 Removing seats

The admin of the workspace can remove seats at any time; the number of seats cannot fall below three. The removal does not trigger any payment and takes effect immediately. Stripe credits you with the pro-rata amount for the remaining time of the current billing period as a credit and sets it off against your next invoices; it is not paid out. If the contract ends before the credit has been set off, Klate refunds the outstanding amount (Clause 10.2 of the AGB). From the following billing period the lower monthly price applies. The AI quota is reduced only with the beginning of the following billing period. People for whom no seat is available any more after the removal can continue to view the content but can no longer edit it; their access and content are retained. The seat of the owner of the workspace cannot be removed.

5.4 Assignment

The price is determined by the number of seats ordered, not by the number of seats occupied. Assigning a seat to a person, issuing an invitation or releasing a seat again does not change the price.


6. Invoices

6.1 Issuance

Klate issues an invoice for every billing period and for every change charged pro rata. The invoice is created electronically and transmitted via Stripe. By placing an order subject to payment you consent to the receipt of electronic invoices.

6.2 Receipt

Klate sends the invoice to the e-mail address of the owner of the workspace or to an invoice e-mail address stored by you in your account. In addition, you can retrieve and download your invoices in your account. Keep invoices yourself to the extent that you are obliged to do so.

6.3 Content

The invoice contains the details required by § 14 UStG: the name and address of Klate, the tax number (Steuernummer) or the USt-IdNr. of Klate (Clause 10), your name and your address, a sequential invoice number, the date of issue, the period of performance, the designation of the service, the net amount, the tax rate and the tax amount as well as the total amount. In the case of a reverse charge (Clause 1.3) it contains, in accordance with § 14a Absatz 1 UStG, the note „Steuerschuldnerschaft des Leistungsempfängers“ as well as the USt-IdNr. of Klate and your USt-IdNr.

6.4 Details provided by entrepreneurs

This Clause 6.4 applies only to entrepreneurs. You can store and change the name of your company, your invoice address and your USt-IdNr. in your account. The details apply to all invoices issued after the entry. You are responsible for the accuracy of your details. Please direct questions about invoices already issued to support@klate.ai.


7. Price changes

7.1 Announcement

Klate may change the prices of this Annex 2 for future billing periods. Klate announces a price change in Textform (text form) at least 30 days before the billing period from which it is to apply. The announcement states the new price, the billing period from which it is to apply, and your right to terminate the contract. A price change applies at the earliest from the first billing period that begins after the expiry of the 30 days. It never applies to a current or already paid billing period.

7.2 Right of termination

You can terminate the contract in accordance with Clause 11 of the AGB up to the beginning of the billing period from which the new price is to apply. Until the end of the current billing period the previous price applies.

A higher price applies only if you consent to it. You declare your consent in the application; Klate records it with the date. Silence, continued use or the absence of a termination do not count as consent. If you refuse, or do not consent by the beginning of the announced billing period, our notification counts as a termination of your paid plan with effect from the expiry of the preceding billing period; your account and your content are retained in the Free plan (Clauses 10.4 and 11.4 of the AGB). A lower price applies without consent from the announced billing period.

7.4 No unilateral adjustment

There is no unilateral adjustment of current prices, no price escalation clause and no linkage to an index. Changes to the statutory VAT have a direct effect on the total price; they are not a price change within the meaning of this Clause 7.


8. Default

8.1 Occurrence

Default occurs in accordance with the statutory provisions, in particular through a reminder (Mahnung) after the due date (§ 286 BGB). The procedure in the event of a failed collection, including the repetition of the collection, the notification, the suspension of the AI functions and a termination of the contract, is governed by Clause 10.5 of the AGB.

8.2 Default interest for consumers

This Clause 8.2 applies to consumers. In default you owe default interest at the statutory rate of five percentage points above the base rate (Basiszinssatz) (§ 288 Absatz 1 BGB).

8.3 Default interest for entrepreneurs

This Clause 8.3 applies only to entrepreneurs. In default you owe default interest at the statutory rate of nine percentage points above the base rate (§ 288 Absatz 2 BGB).

Klate does not charge a flat-rate reminder fee. Klate may demand the substantiated costs of legal enforcement that arise as a result of the default, for example the costs of an instructed debt collection service provider or lawyer, to the extent that they are necessary and reasonable. As against consumers, the costs of a debt collection service provider are recoverable at most in the amount that a lawyer could charge for the same activity under the Rechtsanwaltsvergütungsgesetz (the German statute on lawyers' remuneration). Further statutory claims remain unaffected.


9. Refunds

9.1 Ordinary termination by the customer

If you terminate on an ordinary basis (Clause 11.2 of the AGB), the contract ends upon expiry of the current billing period. Until then the plan is available to you in full. The charge paid for the current billing period is not refunded. An unconsumed AI quota is not refunded (Clause 4.2).

9.2 Termination or discontinuation by Klate

If Klate terminates the contract or a paid plan on an ordinary basis (Clauses 11.2 and 11.5 of the AGB), Klate discontinues the service, a plan or a material function (Clause 14.2 of the AGB), Klate terminates the contract on an extraordinary basis (Clause 21 of the AGB) or the contract ends following an event of force majeure (Clause 22 of the AGB), Klate refunds the charge paid in advance on a pro-rata basis for the time after the termination; this also applies to the charge for AI Boost units. The same applies if you terminate the contract for one of the reasons stated in Clauses 7.7, 14, 22 and 24.3 of the AGB. The refund is calculated to the day and is made to the means of payment with which you paid.

9.3 Right of withdrawal

This Clause 9.3 applies to consumers. Your statutory right of withdrawal remains unaffected by this Clause 9. Annex 3 contains the Widerrufsbelehrung (statutory withdrawal instructions) and the model withdrawal form; Clause 12 of the AGB describes the exercise of the right.

9.4 Statutory rights

Your statutory rights in the event of defects, in particular the right to a reduction of the price, remain unaffected by this Clause 9 (Clause 15 of the AGB).


10. VAT notice

Klate Technology UG (haftungsbeschränkt) is entered in the commercial register (Handelsregister) of the Amtsgericht (Local Court) Frankfurt am Main under HRB 145040. The issuance of the VAT identification number is still outstanding. Klate is subject to standard taxation and states the VAT in the invoices. VAT identification number of Klate: [USt-IdNr.]. Until it is issued, invoices contain the tax number (Steuernummer) of Klate. Klate will add the USt-IdNr. to this Annex 2 as soon as it has been issued; that is not a price change within the meaning of Clause 7.
